Aircraft Finance Trust Announces Expiration of Consent Solicitation and Receipt of Requisite Consents

NEW YORK—(BUSINESS WIRE)— Aircraft Finance Trust (“AFT”) announced today that its previously announced solicitation of consents (the “Consent Solicitation”) to various amendments (the “Proposed Amendments”) to the Indenture governing its Class A-1 Notes, Class A-2 Notes, Class B Notes, Class C Notes and Class D Notes (collectively, the “Notes”) expired at 5:00 p.m. New York City time on June 21, 2011 (the “Expiration Date”). As of the Expiration Date, holders representing 74.2% of the aggregate principal amount of the Notes outstanding as of the record date of May 16, 2011 (voting as a single class), validly delivered a duly executed consent to the Proposed Amendments.

The Proposed Amendments required the consents of the holders of at least a majority of the Outstanding Principal Balance (as defined in the Indenture) of the Notes, voting as a single class (the “Requisite Consents”). Global Restructuring Services, Inc., the tabulation and information agent for the Consent Solicitation, has delivered a certification evidencing that the Requisite Consents were obtained and that the Consent Solicitation was successful.

The Consent Solicitation Statement, dated May 17, 2011, as supplemented by the Supplement to Consent Solicitation Statement, dated June 14, 2011, describing the Proposed Amendments is posted on AFT’s website http://www.aftreports.com/reports.htm. A copy of the Supplemental Indenture to the Indenture, evidencing the Proposed Amendments, will be posted on AFT’s website as soon as it becomes available.
