The Board of Aer Lingus (the “Board”) notes recent media speculation and the announcement by International Consolidated Airlines Group, S.A. (“IAG”) that it is considering a possible offer for the Company. The Board confirms that on 14 December 2014 it received a preliminary, highly conditional and non-binding approach from IAG (the “Proposal”).
The Board has reviewed the Proposal and believes that it fundamentally undervalues Aer Lingus and its attractive prospects. Accordingly, the Proposal was rejected on 16 December 2014.
This statement is being made by Aer Lingus without the prior agreement or approval of IAG. There can be no certainty that any offer will be made nor as to the terms of any offer. Shareholders are strongly advised to take no action.
